1. Introduction
By accessing or using our services, you agree to comply with and be bound by these Terms of Service. These terms govern the use of the website development and related services provided by True Light, LLC (“we,” “our,” or “the Company”). Please read these Terms carefully before using our services.
2. Services Provided
True Light, LLC specializes in providing web development services, including but not limited to website design, development, maintenance, and hosting.
3. Retainer Agreement
Subscription to Retainer Agreement: The client acknowledges that they will only be subject to a retainer agreement if they have explicitly subscribed to a maintenance retainer plan. Not all products or services provided by True Light, LLC will require a retainer agreement.
- Initial Term: If the client subscribes to a maintenance retainer plan, they agree to a minimum commitment of six (6) months. The retainer fee will be automatically billed on a monthly basis.
- Post-Initial Term: After the initial six (6) month term, the agreement will automatically convert to a month-to-month arrangement unless either party terminates the agreement with thirty (30) days' written notice.
- Retainer Fees: If the client is subscribed to a retainer agreement, the monthly retainer fees will be billed on the plan start date of each billing cycle. The fees are non-refundable.
- Cancellation: If the client has subscribed to a retainer agreement, they may cancel the agreement after the initial six (6) month term by providing at least thirty (30) days' written notice, and the client will no longer be billed for services after the cancellation date. If the client fails to provide the required notice, they will remain responsible for payment during the notice period. If True Light, LLC wishes to terminate the agreement, the Company will provide thirty (30) days' written notice to the client.
4. Payment Terms
- All payments for services must be made according to the agreed-upon schedule. Payments are due within thirty (10) days from the date of the invoice.
- Failure to make timely payments may result in suspension or termination of services.
5. Client Responsibilities
- The client agrees to provide accurate and timely information as necessary for the completion of the project.
- The client is responsible for ensuring that the content provided for their website is not illegal or infringing on the rights of third parties.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information, client data, and business practices exchanged during the course of the agreement.
7. Ownership of Work
- Upon full payment, the client will own the intellectual property rights to the completed website.
- True Light, LLC retains the right to use non-confidential aspects of the work for portfolio and promotional purposes.
8. Limitation of Liability
True Light, LLC will not be liable for any indirect, incidental, or consequential damages arising out of the use of our services. Our total liability for any claims will be limited to the total amount paid by the client for the service.
9. Governing Law
These Terms of Service will be governed by the laws of Massachusetts, USA, without regard to its conflict of law principles.
10. Modifications to Terms of Service
True Light, LLC reserves the right to modify these Terms of Service at any time. Changes will be posted on this page, and the revised Terms will be effective immediately upon posting.
